Terms of use (Contact-Pratique)

LICENSE AGREEMENT FOR THE CONTACTS-PRATIQUE SOFTWARE

NOTICE TO USER: You must not distribute or reproduce the Software in whole or in part without the consent of its author (except as otherwise provided in this agreement). You must not combine the Software with, or incorporate it into any other application (except as otherwise provided in this agreement). You must not transfer, sell, or rent the Software or any copy thereof. You may use the Software under this license agreement.

The author grants you a non-exclusive license to use the Software, provided that you accept the following terms and conditions:

1. DEFINITIONS:

A. "Software" refers to any part of the Contact-Pratique application.
B. "User" refers to any individual or legal entity using the Software.

2. TRIAL VERSION:

A. The User is authorized to use the Software for free in trial version (limited to 20 contacts).
B. The User is required to test the trial version before any purchase, in particular to ensure the Software's compatibility with their system and settings.

3. FULL VERSION:

A. Purchasing the full version allows the User to use the Software indefinitely without the trial version restrictions.
B. A license is required for each copy of the Software (excluding backup copies).
C. The User who has purchased the full version is authorized to make minor modifications for personal or internal company use. However, these modifications must not alter the main functionality of the Software or lead to the creation of a derivative product. Furthermore, any modifications by the User are made at their own risk.
D. STANDARD FULL VERSION: The "standard" full version has all the features of the full version, only access to the VBA code is forbidden. The User can get support with this version in case of any technical problem as long as this problem could not appear in the trial version (CF point 2B).
E. FULL VERSION WITH ACCESS TO VBA CODE: The User who purchased the full version with access to the VBA code receives the VBA password of the full version of the Software. The User is aware that the VBA code in this version is indented and contains some comments in English, but the names of the variables, functions, and procedures are in French, as the Software was originally developed in French. Since the code of this version is accessible, no support will be provided to the User in case of problem. As a reminder, it is forbidden to publish any part of the code of this application with or without modification (it is therefore important to make backup copies regularly).

4. USAGE RESTRICTIONS:

A. The User may not sell or rent the Software with or without modifications.
B. The User is not authorized to distribute or publish the Software's source code or any part thereof, with or without modifications (including on forums).
C. The User agrees to always maintain a password protection of the VBA code of the Software.

5. RESPONSIBILITIES:

A. It is the User's responsibility to test the Software before any purchase using the trial version. The User is aware that they cannot request a refund for the Software.
B. It is the User's responsibility to regularly perform backup copies of the Software. The Software is not replaced in case of loss or problems.
C. The author of the Software will in no case be responsible for indirect, incidental, special, or consequential damages, including, but not limited to, loss of profits or data resulting from the use or inability to use the Software, even if the author has been informed of the possibility of such damages.

6. CONSUMER RIGHTS:

A. Notwithstanding the provisions of this agreement, nothing in this agreement aims to limit or exclude the consumer rights that the User may have under the mandatory legislation of their country of residence. In case of conflict between the terms of this agreement and the consumer rights provided by law in the User's country of residence, the latter's legal rights will prevail.

7. RIGHT OF REVOCATION AND MODIFICATION:

A. The author reserves the right to revoke or modify the terms of this agreement in case of a breach of the license conditions by the User, or to respond to legal or technical changes.

8. JURISDICTION AND APPLICABLE LAW:

A. This agreement is governed by the laws of the author's country of residence, Switzerland, except for conflicts of laws. Any dispute arising out of or in connection with this agreement will be subject to the exclusive jurisdiction of the courts of Sion, Switzerland. However, this does not deprive the User of the protection offered by the imperative provisions of the legislation of the country in which they habitually reside.

This agreement becomes effective upon the first use of the Software.

Non-compliance with this agreement may lead to prosecution.
