General Terms and Conditions of Use

WARNING: The following Terms and Conditions are a translation of the original French version. They have been translated into English to facilitate understanding for English-speaking users. However, please note that in case of any discrepancies or misunderstandings arising from the translation, the French version of these Terms and Conditions is the only legally binding document. It is strongly recommended that if you have any doubts about the interpretation of any part of these translated Terms and Conditions, please refer to the original French version.

1. DEFINITIONS

The following terms, whether used in singular or plural form, will have the following meaning in these General Terms and Conditions of Use:
 - "CGU": refers to these General Terms and Conditions of Use
 - "Site": refers to the "excel-pratique.com" site as a whole, including but not limited to the website, its forum and any other service available on the Site
 - "Excel-Pratique": refers to the administrator managing the Site
 - "User": refers to any person browsing the Site and/or using one of the Site's services
 - "Member": refers to any User who has created an account on the Site

2. PREAMBLE

These CGU aim to legally frame the modalities of provision and use of the Site's services by the User.
The CGU must be accepted by any User wishing to access the Site. They constitute the contract between the Site and the User. Access to the Site by the User signifies their acceptance of these general terms and conditions of use.
In case of non-acceptance of the terms stipulated in this contract, the User must renounce access to the Site. Excel-Pratique reserves the right to unilaterally modify the content of these CGU at any time. The User is required to regularly consult the CGU and renounce using the Site in case of disagreement with them.

3. LEGAL NOTICES

The management of the Site is carried out by Mathier Solutions, Route de l'Argilly 4, 1981 Vex, Switzerland (CHE-214.229.662).
The host of the Site is Infomaniak Network SA, 25 Rue Eugène Marziano, 1227 Carouge, Switzerland.

4. ACCESS TO THE SITE

The Site is accessible for free to any User with Internet access. All costs incurred by the User to access the service (computer hardware, software, Internet connection, etc.) are at their expense.
Non-Member Users do not have access to services reserved for Members. To access them, they must register to become a Member and then log in to the Site.
Access to the Site may at any time be subject to interruption, suspension, modification without notice for maintenance or any other case. The User is obliged not to claim any compensation following the interruption, suspension, or modification of this contract.

5. INTELLECTUAL PROPERTY

All content present on the Site, including but not limited to texts, images, videos, graphics, and user interfaces, is protected by copyright and other intellectual property laws.
The User is not authorized to reproduce, publish, copy, modify, or use in any way any content of the Site without the prior written permission of Excel-Pratique.
The User agrees to use the Site's content in a strictly private context. Any use of the content for commercial or public purposes is strictly prohibited.

6. MEMBER ACCOUNT

Certain services of the Site require registering to open an account and become a Member.
Before being able to open an account, the User must have read and accepted these CGU.
The User wishing to open an account declares being of legal age and at least 18 years old, and undertakes to provide accurate personal information and to keep it up to date.
Unless stated otherwise, opening an account on the Site is free. However, the User undertakes not to open more than one account.
The account, which allows notably to propose files for download, is also usable on the Site "sheets-pratique.com". The User undertakes to read the CGU of the Site "sheets-pratique.com" and to approve them before any use of their account on this Site.
The Member is responsible for any activity that occurs on their account.
Excel-Pratique is entitled to delete any account at any time without having to justify or notify the User.

7. PUBLICATIONS BY THE MEMBER

The Member undertakes not to publish abusive, obscene, vulgar, defamatory, shocking, threatening, sexually explicit, or any other illegal or immoral content.
Any content uploaded by the Member is their sole responsibility. The Member guarantees that they have the necessary rights to publish any content on the Site and undertakes not to upload content containing confidential information and/or that may harm the interests of third parties. Any legal action initiated by an aggrieved third party against Excel-Pratique will be borne by the Member.
In return for the use of the Site, the Member grants Excel-Pratique a worldwide, non-exclusive, transferable license that can be sublicensed, granting Excel-Pratique the right to copy, store, correct, adapt, and distribute any content published and/or provided by the Member on the Site. This license is granted as and when the relevant elements are published, solely for the proper functioning of the Site.
The Member's content can be deleted or modified at any time and for any reason by Excel-Pratique, wholly or partially, without any prior justification or notification to the Member.
The publication of content deemed inappropriate, illegal, immoral, or contrary to the forum's charter by Excel-Pratique can lead to the immediate deletion or deactivation of the Member's account, without justification or notification.

8. PREMIUM MEMBER ACCOUNT

If they wish, the Member has the option to opt for a paid Premium option for a duration of 6, 12, or 24 months (1 month = 30 days), hereinafter referred to as "Premium period".
The Premium option allows the Member to navigate without advertising when logged in to the Site (except for advertisements displayed on YouTube videos).
The Premium option also adds several additional features not guaranteed (additional features may be added, modified, or removed during the Premium period without giving rise to any compensation, nor charge any extra in case of novelty).
The Premium option does not entitle to any privileged treatment on the forum and does not imply any guarantee of response to its questions on the forum.
In case of non-compliance with these conditions or inappropriate behavior on the forum, the Member's account can be deactivated or deleted by Excel-Pratique without giving rise to any compensation for the lost Premium period.
The Premium period begins immediately after payment.
The Member is aware that a Premium period cannot be "paused" and that no refund of a Premium option, even partial, is possible.

9. COOKIES

The Site uses cookies to improve user experience, facilitate navigation on the Site, and for analysis and advertising purposes. Cookies are small text files stored on your device.
The Site uses both essential cookies for the operation of the Site and third-party cookies for additional functionalities, including cookies related to Google ads. Essential cookies cannot be disabled as they are essential for the technical operation of the Site. This includes Google's announcement cookies that are used only for incorrect traffic (and local storage space for traffic with and without consent).
Users have the option to consent to or refuse non-essential cookies via the Site's cookie consent manager. Consent can be changed at any time by clicking here.
Users are also informed that they can configure their browser to block or be alerted to cookies. However, blocking certain types of cookies may impact their experience on the Site.

10. PERSONAL DATA PROTECTION

Excel-Pratique attaches great importance to the protection and respect of its Users' privacy. Personal data collected is used only to provide and improve the services offered on the Site, for the management of User accounts, and is in no way sold or rented to third parties.
Users have rights regarding their personal data, including the right to access, rectify, delete, and limit the processing of their data. Users can exercise these rights by contacting support via the Site's contact form.

11. LIABILITY AND FORCE MAJEURE

The User alone assumes full responsibility for the use of the information and content of the Site.
The Member ensures to keep their password secret. Any disclosure of a password, whatever its form, is prohibited.
The Member assumes the risks and consequences related to the use of their username and password.
The User undertakes not to attempt to gain unauthorized access to the Site, the network, or associated systems, nor to attempt to intercept data and/or disrupt or alter the integrity of the Site.
Any use of the service by the User that directly or indirectly results in damage must be compensated for the benefit of Excel-Pratique.
Optimal security and confidentiality of transmitted data are not guaranteed by Excel-Pratique. However, Excel-Pratique commits to implementing all necessary means to best guarantee the security and confidentiality of data.
Excel-Pratique's liability cannot be engaged in case of force majeure, the unforeseeable and insurmountable act of a third party, or loss or theft of data.
Excel-Pratique disclaims all liability for direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profit, goodwill, use, data, or other intangible losses (even if Excel-Pratique has been informed of the possibility of such damages), resulting from the use or inability to use the Site or any service associated with it, or from any other claim related to your use of the Site or any service. This limitation of liability fully applies in jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages.

12. DOWNLOADABLE FILES
Members have the opportunity to publish files that could potentially pose a risk to the User (including, but not limited to, files containing macros).
The User acknowledges that they use and download the files available on the Site at their own risk and peril. Excel-Pratique does not guarantee that these files are free of viruses, malware, or other harmful elements. It is the User's responsibility to take the necessary measures to ensure the security of their computer system (for example: scanning the file with antivirus software, checking the content of macros when possible, etc).
Excel-Pratique cannot be held responsible for any results or problems, direct or indirect, related to the download of a file from the Site.

13. HYPERLINKS

Many outgoing hyperlinks are present on the Site, however, the web pages where these links lead do not engage the responsibility of Excel-Pratique who has no control over these pages.
Therefore, the User is prohibited from holding Excel-Pratique responsible for the content and resources related to these outgoing hyperlinks.

14. EVOLUTION OF THE CONTRACT

Excel-Pratique reserves the right to modify these CGU at any time. Modifications will become effective immediately upon their publication on the Site. It is the User's responsibility to regularly consult the CGU to stay informed of any changes. Continued use of the Site after any modification constitutes the User's acceptance of these changes.

15. DURATION

The duration of this contract is indefinite. The contract takes effect with respect to the User from the first use of the Site.

16. APPLICABLE LAW AND JURISDICTION

These CGU and the use of the Site are governed and interpreted in accordance with the laws of Switzerland. In the event of a dispute, claim, or disagreement arising from or related to these CGU or the use of the Site, these cases will be exclusively submitted to the jurisdiction of the courts in Sion, Switzerland. This provision does not deprive Users of the protection offered by the mandatory provisions of the legislation of their usual country of residence.
